IMPORTANT INFORMATION
You should carefully read the following Terms of Use Agreement (“Agreement”). Your use of our Website, mobile application, and/or our service(s) implies that you have read and accepted these terms and conditions. The Website and mobile application (all of The IV Company websites and mobile application may hereafter be referred to, both individually and collectively, as the “Services”) from which you accessed this Agreement is provided to you subject to the conditions listed below. These terms are in addition to any other terms that individual Services owners, which are within The IV Company family of Services, may include for governing access to their respective Services.

The access rights granted to you under this Agreement are non-transferable without the express written permission of DRS IV Holdings, LLC. You are responsible for the actions of any other person who may utilize your access rights on the Services.

INTRODUCTION
The following terms and conditions govern all use of The IV Company Services, all content, services and products available at or through the Website or mobile application. The Services are offered subject to your acceptance without modification of all of the terms and conditions contained herein and all other associated operating rules and policies.

Please read this Agreement carefully before accessing or using the Services. By accessing or using any part of the Services, you agree to become bound by the terms and conditions of this Agreement. If you do not agree to all the terms and conditions of this Agreement, then you must leave the Services and you may not use any services of The IV Company. If these terms and conditions are considered an offer by The IV Company, acceptance is expressly limited to these terms.

DRS IV Holdings, LLC, doing business as “The IV Company,” is a management and service organization. DRS IV Holdings, LLC is not engaged in the practice of medicine, does not itself provide medical services, and is not a health care provider. All medical services are provided exclusively by licensed health care professionals through Srikant Patel Medical Anesthesia Services PLLC, under the supervision of our Medical Director, Dr. Srikant Patel.

When you receive treatment through The IV Company, you are establishing a direct patient–provider relationship with the licensed medical professional who provides your care. That professional is solely responsible for all medical advice, diagnoses, and treatment decisions. The role of DRS IV Holdings, LLC is limited to providing administrative, scheduling, billing, marketing, and management support services that enable licensed medical professionals to deliver care to you.

The Services are available only to individuals who are at least 18 years old. If you are not yet 18 years old, you must stop using the Services immediately.

SPECIAL LICENSE RESTRICTIONS FOR NON-HUMAN VISITORS
Non-Human Visitors include, but are not limited to, web spiders, bots, indexers, robots, crawlers, harvesters, or any other computer programs designed to access, read, compile, or gather content from the Services (our website, mobile application, and the services booked through them) automatically.

Any individual or organization that uses such tools is responsible for their actions.
Email addresses provided on the website or mobile application are intended solely for individuals to communicate directly with The IV Company for legitimate inquiries or services. They may not be collected, stored, or used for unsolicited marketing, bulk emailing, or spam of any kind. Unauthorized use of this information is strictly prohibited.

FEES, PAYMENT, AND REFUNDS
Services scheduled and/or purchased from The IV Company, through the Services or otherwise, are provided by licensed medical professionals through Srikant Patel Medical Anesthesia Services PLLC. By scheduling an appointment with The IV Company, through the Services or otherwise, you agree to pay the fee indicated for the service that has been scheduled. Payments will be charged at the time of scheduling or at the time of service as indicated or directed.

The IV Company requires at least 24 hours’ advanced notice of cancellation. You will be charged the full amount of the fee indicated for the service(s) scheduled if you cancel an appointment within 24 hours of its scheduled time. However, you may cancel an appointment without charge if it is cancelled within ten minutes of being scheduled through the Services or otherwise. Missed appointments are not refundable. In the unusual event we are unable to provide our services to you because of our availability, a credit or a refund will be provided. Credits or refunds will not be provided to customers who are unsatisfied with the services.

If we are unable to successfully start an IV after reasonable attempts, you will not be charged for that visit. Instead, we will provide you with a full credit that can be applied toward a future appointment at a time that works for you.

In the event that you misrepresent yourself in any way, including, but not limited to, your age, or the medical history provided by you is not accurate as determined by a medical professional at the time of the appointment, or you are under the influence of drugs or alcohol at the time of the appointment, you will be charged for the full amount of the services scheduled but no services will be provided; provided, however, for an additional charge of one hundred dollars ($100.00), you may reschedule this appointment for a time that is at least four hours after the scheduled time of the original appointment so long as you are no longer under the influence of drugs or alcohol and, in the determination of a medical professional, your medical history has been corrected. The IV Company also reserves the right to refuse or terminate future services in cases of repeated misrepresentation, intoxication, or conduct that jeopardizes patient or staff safety.

GENERAL DISCLAIMER
The Services provide information about health issues designed to help users make better decisions, but medical information is not the same as medical advice. You, as the user of the Services, assume full risk and responsibility for any and all use of the Services, including the information presented thereon. The Services are intended to be a general information resource only and do not constitute medical advice and are not a substitute for professional medical advice or treatment. You are responsible for seeking professional medical advice if you have any questions about your health or a health condition. You agree to hold The IV Company, DRS IV Holdings, LLC, and Srikant Patel Medical Anesthesia Services PLLC harmless from any and all claims, damages, causes of action, judgments, liabilities, expenses and demands of any kind or nature whatsoever relating to your use of, your reliance upon, or errors or omissions in, information found on the Services.

You use the Services of The IV Company at your own risk. The IV Company will not be liable to you or anyone else for any harm to you or others resulting from the use of the Services and/or the treatments and products provided through the Services or otherwise. The IV Company does not make any claims, representations or warranties regarding your fitness following receipt of services, including, but not limited to, whether you are fit to drive a vehicle or operate machinery after you receive services. Further, you may need someone to accompany you after receiving the Services until you feel able to resume normal activities.

The IV Company does not condone, recommend, or encourage excessive alcohol consumption. Excessive drinking is highly detrimental to one’s health and wellness and may lead to a number of irreversible diseases, including, but not limited to, alcoholism, cirrhosis of the liver, and cancer. Please drink responsibly.

SOCIAL MEDIA USAGE POLICY
The IV Company has opened publicly facing pages on social media sites for viewing content and/or videos and posting comments about The IV Company. These social media sites include but are not limited to various blogs, bulletin boards, networks, multi-media and news media sites or other user-generated content sites (each, a “Social Media Site” and collectively, the “Social Media Sites”). When using social media sites operated by others, you must also follow their rules of conduct and abide by their terms of use. By accessing, viewing and/or posting any content related directly or indirectly to The IV Company on any Social Media Site on the internet, you accept, without limitation or qualification, the following terms of use.

You must be at least 18 years old to post any content on any Social Media Site. You are prohibited from posting any content that is personal health information including patient images on any Social Media Site. You are also prohibited from using any Social Media Site to provide medical advice or medical commentary by non-physicians or to use the Social Media Site to make, recommend or increase referrals to physicians who are not employed by or affiliated with Srikant Patel Medical Anesthesia Services PLLC.

By posting content to any Social Media Site, you agree that you will not violate any local, state, federal and international laws and regulations, including but not limited to copyright and intellectual property rights laws regarding any content that you send or receive; impersonate any person or entity; collect or store, or attempt to collect or store, personal data about third parties without their knowledge or consent; or share confidential pricing information of any party. You further agree you will not transmit unlawful, harassing, defamatory, obscene, or otherwise objectionable material; transmit content you do not have the right to make available; infringe any intellectual property rights of others; post unauthorized advertising or spam; or transmit software viruses or malicious code.

By posting any content on any Social Media Site, you grant to DRS IV Holdings, LLC and The IV Company the irrevocable right to reproduce, distribute, publish, and display such content, and the right to create derivative works, edit or modify such content, and use such content for any The IV Company purpose.

The IV Company reserves the right to monitor, prohibit, restrict, block, suspend, terminate, delete, or discontinue your access to any Social Media Site, at any time, without notice and for any reason. You understand and agree that The IV Company may disclose your communications and activities with The IV Company in response to lawful requests by governmental authorities.

INTELLECTUAL PROPERTY
The IV Company, DRS IV Holdings, LLC, and its related entities, including Srikant Patel Medical Anesthesia Services PLLC, own the trademarks, service marks, logos, and all other branding elements associated with The IV Company. Other trademarks, service marks, graphics, and logos used in connection with the Services may be the trademarks of third parties. Your use of the Services does not grant you any right or license to reproduce or otherwise use any of The IV Company’s trademarks or third-party trademarks.

SITE MODIFICATIONS
The IV Company reserves the right, at its sole discretion, to modify or replace any part of this Agreement at any time. Minor updates may be made without notice, but material changes will be communicated to users by email (if available) or by a notice posted on the website or mobile application.

It is your responsibility to review this Agreement periodically for changes. Your continued use of or access to the Services following the posting of any changes to this Agreement constitutes acceptance of those changes. The effective date at the bottom of this Agreement will always reflect the most recent revision date.

The IV Company may also, in the future, offer new services and/or features through the Services (including, but not limited to, the release of new tools, services, and resources). Such new features and/or services shall be subject to the terms and conditions of this Agreement.

TERMINATION
The IV Company may terminate your access to all or any part of the Services at any time, with or without cause, with or without notice, effective immediately. If you wish to terminate this Agreement, you may simply discontinue using the Services. The IV Company can terminate the Services immediately as part of a general shut down of our service or for other lawful reasons. Upon termination, all provisions of this Agreement which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

DISCLAIMER OF WARRANTIES
The services, information, functions, and materials on the Services are provided "as is." The IV Company, DRS IV Holdings, LLC, and Srikant Patel Medical Anesthesia Services PLLC make no warranties, expressed or implied, and hereby disclaim and negate all other warranties, including without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement of intellectual property or other violation of rights. Further, The IV Company does not warrant or make any representations concerning the accuracy, likely results, or reliability of (a) the use of the materials on the Services or otherwise relating to such materials, or (b) any sites linked to or on the Services.

LIMITATION OF LIABILITY
In addition to, and not in limitation of, any limitations of liability provided by law or this Agreement, in no event will The IV Company, DRS IV Holdings, LLC, Srikant Patel Medical Anesthesia Services PLLC, or their suppliers, contractors, licensors, equity owners, directors, officers, employees, or agents be liable with respect to any subject matter of this Agreement under any contract, negligence, strict liability, or other legal or equitable theory for any special, incidental, or consequential damages. The foregoing shall apply to the fullest extent permitted by law and shall not apply to the extent prohibited by applicable law.

INDEMNIFICATION
You agree to indemnify and hold harmless The IV Company, DRS IV Holdings, LLC, Srikant Patel Medical Anesthesia Services PLLC, their contractors, and their licensors, and their respective directors, officers, employees, and agents from and against any and all claims, damages, causes of action, judgments, liabilities, demands, and expenses of any kind or nature whatsoever, including attorneys’ fees, arising out of your use of the Services.

APPLICABLE LAW AND JURISDICTION
You agree that any suit, action, or proceeding between you and The IV Company in connection with or arising from this Agreement shall be governed by the law of the State of New York, without regard to its conflict of law principles. You consent to the jurisdiction of federal and state courts within the State of New York. You consent to the venue in any judicial action brought against you in connection with breaches of this Agreement. You consent to electronic service of process regarding any judicial action under this Agreement.

OUR COMMITMENT TO ACCESSIBILITY
The IV Company is committed to making our website and digital content accessible and user-friendly to everyone. We will make reasonable efforts to ensure our content is accessible.

If you are having difficulty viewing or navigating the content on this website, or notice any content, feature, or functionality that you believe is not fully accessible to people with disabilities, please email our team at info@theiv.co with “Disabled Access” in the subject line and provide a description of the specific feature you feel is not fully accessible or a suggestion for improvement.

We take your feedback seriously and will consider it as we evaluate ways to accommodate all of our customers and our overall accessibility policies. Additionally, while we do not control such vendors, we strongly encourage vendors of third-party digital content to provide content that is accessible and user-friendly.

PRIVACY POLICY
DRS IV Holdings, LLC (“The IV Company”) is committed to the privacy and security of its visitors’ information. Some of the activities on the Services, such as the scheduling of an appointment, require The IV Company to collect personal identifying information from you. All personal information provided by you is held in confidence and will not be shared with third parties for any reason unless it is necessary to process a request made by you, as otherwise legally required, or in connection with services provided by Srikant Patel Medical Anesthesia Services PLLC.

Medical information collected for treatment purposes is protected health information (PHI) and is maintained by Srikant Patel Medical Anesthesia Services PLLC in compliance with HIPAA and other applicable privacy laws. Administrative, scheduling, and marketing data may be used by DRS IV Holdings, LLC to improve Services, communicate with you, and enhance your experience.
The IV Company may also collect data from the Services, such as the pages visited, how much time a visitor spends on the Services, and a visitor’s IP address, in order to improve the content provided on the Website. In some cases, trusted third-party service providers (such as scheduling, payment, or communications platforms) may process information on our behalf under confidentiality and security obligations.
We retain personal data for as long as required by law and as long as necessary to provide services, comply with legal obligations, resolve disputes, and enforce our agreements.

APPENDIX A: NOTICE OF PRIVACY PRACTICES
This Notice describes how medical information about you may be used and disclosed and how you can get access to this information. Please review it carefully.

USES AND DISCLOSURES
Your health information may be used by staff members or disclosed to other health care professionals for the purpose of evaluating your health, diagnosing medical conditions, and providing treatment. For example, results of laboratory tests and procedures will be available in your medical record to all health professionals who may provide treatment or who may be consulted by staff members.
Your health information may be used to seek payment from your health plan, from other sources of coverage such as an automobile insurer, or from credit card companies that you may use to pay for services. For example, your health plan may request and receive information on dates of service, the services provided, and the medical condition being treated.

Your health information may be used as necessary to review and adjust the day-to-day activities and management of Srikant Patel Medical Anesthesia Services PLLC. For example, information on the services you received may be used to support budgeting and financial reporting, fraud and abuse detection and compliance programs, and activities to evaluate and promote quality.

Your health information may be disclosed to law enforcement agencies, without your permission, to support government audits and inspections, to facilitate law-enforcement investigations, to comply with government-mandated reporting, and for other law enforcement purposes.

Your health information may be disclosed to public health agencies as required by law. For example, we are required to report certain communicable diseases to the state’s public health department. When we report suspected abuse or domestic violence, we will inform you or your personal representative promptly unless in our best professional judgment, we believe the notification would place you at risk of serious harm.

As required by law in certain circumstances, your health information may be used and disclosed by our staff, but such use and disclosure will be limited to the relevant requirements of the law concerning such specific circumstances. For example, we may be required to disclose information in the course of an administrative or judicial proceeding. You have the right to request restrictions on the use and disclosure of your health information. You have the right to receive confidential communications concerning your medical condition and treatment. You have the right to inspect and copy your health information. Reasonable, cost-based fees may apply for copies provided in paper or electronic form, as permitted by law. You have the right to amend or submit corrections to your health information. You have the right to receive an accounting of how and to whom your health information has been disclosed. You have the right to receive a printed copy of this notice.

OUR DUTIES
Srikant Patel Medical Anesthesia Services PLLC is required by law to maintain the privacy of your protected health information and to provide you with this notice of privacy practices. We are required to abide by the privacy policies and practices that are outlined in this notice.

As permitted by law, we reserve the right to amend or modify our privacy policies and practices. These changes may be required by changes in federal and state laws and regulations. Whatever the reason for these revisions, we will provide you with a revised notice on your next appointment. We will also prominently post the current notice on our website.

You also have the right to file a complaint with the U.S. Department of Health and Human Services, Office for Civil Rights, if you believe your privacy rights have been violated. You will not be penalized or otherwise retaliated against for filing a complaint.
